2. Description of Service

Transit Systems provides an execution rules protocol for physical trade (the "Transit Protocol"). The protocol includes claim enforcement, eligibility gating, cryptographic signing, hash-chained audit logs, and related services. Access to the protocol is granted through licensing agreements.

3. License Scope

Licenses to the Transit Protocol are non-exclusive and non-transferable unless explicitly stated in your license agreement. Operator licenses are single-tenant. Vertical licenses may include sub-licensing rights to downstream operators within a specific industry vertical. Enterprise licenses may include additional rights as specified in the agreement. All licenses are to the protocol and its capabilities — not to the underlying source code, unless a source code escrow arrangement is in place.

4. Usage Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Transit Protocol or any associated software.
• Sub-license, resell, or redistribute the protocol beyond the scope of your license agreement.
• Use the protocol for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to bypass, circumvent, or disable the eligibility gate, state machine enforcement, or any security mechanism of the protocol.
• Interfere with or disrupt the integrity or performance of the protocol or its infrastructure.
• Use the protocol to process, store, or transmit any content that infringes the intellectual property rights of any third party.

5. Account and Access

Licensees are responsible for maintaining the confidentiality of their credentials, API keys, and certificates. You are responsible for all activities that occur under your account. You must notify Transit Systems immediately of any unauthorized use of your account or any other breach of security.

6. Intellectual Property

The Transit Protocol, including its algorithms, state machine logic, security methods, source code, documentation, and all related intellectual property, remains the exclusive property of Transit Systems Pvt Ltd. Your license does not grant you ownership of any intellectual property. Transit Systems retains all rights not expressly granted in your license agreement.

7. Data and Privacy

Your use of the Transit Protocol is also governed by our Privacy Policy. Licensee data is processed in accordance with the Privacy Policy and any data processing terms in your license agreement. You are responsible for ensuring that your use of the protocol complies with applicable data protection laws.

8. Service Availability

We strive to maintain high availability of the Transit Protocol but do not guarantee uninterrupted or error-free service. Service level commitments are specified in individual license agreements. Scheduled maintenance windows will be communicated in advance. We are not liable for any loss or damage arising from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Transit Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the service. Our total aggregate liability shall not exceed the fees paid by you to Transit Systems in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Transit Systems Pvt Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Transit Protocol, your violation of these terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate a license agreement with thirty (30) days written notice. Transit Systems may terminate your access immediately in the event of a material breach of these terms or your license agreement. Upon termination, you must cease all use of the Transit Protocol. We will provide a complete data export including all claims, audit trails, and certificates upon request within 30 days of termination.

12. Modifications

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to licensees with at least thirty (30) days notice. Continued use of the service after changes take effect constitutes acceptance of the modified terms. The most current version of the terms will always be available on this page.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from or relating to these terms or the use of the Transit Protocol shall be subject to the exclusive jurisdiction of the courts in India.
